Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") govern your use of the OrderFlow application ("the App", "OrderFlow", "the Service"), developed and operated by Mentilead ("we", "us", "our"). OrderFlow is a Shopify application that provides B2B quick ordering functionality for Shopify merchants.
By installing, accessing, or using OrderFlow, you ("Merchant", "you", "your") agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the App.
These Terms incorporate by reference:

- Our Data Processing Agreement (DPA)
- Shopify's Terms of Service and API Terms
2. Service Description
OrderFlow provides a quick order page for your Shopify storefront, served via Shopify's App Proxy at your store's domain. The App includes the following features, subject to your subscription plan:
- Product search: SKU-based product search and browsing
- CSV/XLSX import: Bulk order entry via file upload (CSV, TSV, XLS, XLSX)
- Cart management: Add, update, and remove items with real-time totals
- Order history: View past orders placed through OrderFlow
- Saved lists: Save and reload frequently ordered product lists (Standard and Plus plans)
- Checkout integration: Seamless handoff to Shopify's native checkout
- Shopify Flow integration: Triggers and actions for workflow automation
- B2B support: Shopify Plus B2B company detection, catalog pricing, payment terms, and draft orders (Plus plan)
- Branding customization: Color tokens, fonts, presets, and custom CSS for the quick order page
- Analytics: Order volume, product performance, and customer activity metrics
OrderFlow does not modify your Shopify theme. The quick order page is served through Shopify's App Proxy and inherits your theme's header and footer automatically.
3. Eligibility
To use OrderFlow, you must:
- Have an active Shopify store on any Shopify plan (Basic, Shopify, Advanced, or Plus)
- Have the authority to bind your business to these Terms
- Be at least 18 years of age (or the age of legal majority in your jurisdiction)
- Comply with Shopify's Terms of Service and Acceptable Use Policy
Certain features (B2B company detection, catalog pricing, payment terms, draft order approvals) require a Shopify Plus subscription and the OrderFlow Plus plan.
4. Acceptable Use
You agree to use OrderFlow only for its intended purpose and in compliance with all applicable laws. You shall not:
- Use the App to process, store, or transmit illegal content or products prohibited by Shopify's Acceptable Use Policy
- Attempt to reverse engineer, decompile, or disassemble the App
- Interfere with or disrupt the App's infrastructure or other users' access
- Use the App to send unsolicited communications (spam)
- Attempt to access other merchants' data or bypass tenant isolation
- Use automated tools to scrape, crawl, or extract data from the App beyond normal use
- Resell, sublicense, or redistribute the App or any part of it
- Use the App in a way that exceeds reasonable usage patterns or places undue burden on the infrastructure
We reserve the right to suspend or terminate access for violations of this section.
5. Merchant Responsibilities
As a merchant using OrderFlow, you are responsible for:
- Data protection: Ensuring your use of OrderFlow complies with GDPR and applicable data protection laws. You are the data controller for your customers' personal data (see our DPA).
- Privacy notices: Providing appropriate privacy notices to your customers about data processing through OrderFlow.
- Product accuracy: Ensuring your Shopify product data (SKUs, prices, descriptions, availability) is accurate and up to date.
- Customer support: Providing first-line support to your end customers regarding orders placed through OrderFlow.
- Buyer eligibility: Configuring buyer eligibility settings appropriately and ensuring access controls align with your business requirements.
- Order fulfillment: Fulfilling orders placed through OrderFlow in accordance with your store policies and applicable law.
- Tax compliance: Ensuring tax settings in your Shopify store are configured correctly, as OrderFlow relies on Shopify's tax calculations.
6. Intellectual Property
All intellectual property rights in the OrderFlow application, including but not limited to software code, design, user interface, documentation, and branding, are and remain the exclusive property of Mentilead.
Your installation and use of OrderFlow does not transfer any ownership rights. You receive a limited, non-exclusive, non-transferable, revocable license to use OrderFlow for its intended purpose during your active subscription.
Your store data, product information, customer data, and branding customizations remain your property. We claim no ownership over your content or data.
Feedback, suggestions, or ideas you provide about the App may be used by us to improve the Service without obligation to you.
7. Fees and Billing
OrderFlow offers subscription plans billed through Shopify's billing system:

Billing Terms
- All billing is handled through Shopify's app billing system and appears on your Shopify invoice.
- Subscriptions are billed monthly in advance.
- Plan changes take effect immediately. Upgrades are prorated; downgrades take effect at the next billing cycle.
- Prices are in USD and exclude applicable taxes.
- We reserve the right to change pricing with 30 days' notice. Existing subscriptions are honored until the next renewal.
Free Trial
New installations may include a free trial period for paid plans. Trial length and terms are displayed during installation. No charge is made during the trial period. If you do not cancel before the trial ends, your subscription begins and billing starts automatically.
8. Service Availability
We strive to provide reliable, continuous access to OrderFlow. However, we do not guarantee 100% uptime. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice where possible)
- Unscheduled maintenance to address critical security or stability issues
- Issues with third-party services (AWS, Shopify, Resend)
- Force majeure events (see Section 11)
OrderFlow depends on Shopify's platform and APIs. Service availability is subject to Shopify's own uptime and API availability. We are not responsible for outages caused by Shopify.
We will use commercially reasonable efforts to resolve service interruptions promptly and to communicate status updates during extended outages.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Indirect damages: Mentilead shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.
- Aggregate cap: Our total aggregate liability arising from or related to these Terms or your use of OrderFlow shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.
- Third-party services: We are not liable for any losses caused by Shopify, AWS, payment processors, or other third-party services.
These limitations apply regardless of whether we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some of the above limitations may not apply to you.
Nothing in these Terms limits our liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded by law.
10. Disclaimer of Warranties
OrderFlow is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, secure, or free from viruses
- Warranties regarding the accuracy, completeness, or reliability of any content or data processed through the Service
We do not warrant that the App will meet your specific requirements or that it will be compatible with all Shopify themes, apps, or configurations.
You acknowledge that you use OrderFlow at your own risk and that you are solely responsible for any damage to your store, data, or business resulting from your use of the App.
11. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond the party's reasonable control ("Force Majeure Events"), including but not limited to:
- Natural disasters, epidemics, or pandemics
- Acts of war, terrorism, or civil unrest
- Government actions, sanctions, or embargoes
- Widespread internet or telecommunications failures
- Failures of third-party cloud infrastructure providers (e.g., AWS regional outages)
- Cyberattacks (DDoS, ransomware) affecting infrastructure providers
The affected party shall notify the other party promptly of the Force Majeure Event and use reasonable efforts to mitigate its effects. If a Force Majeure Event continues for more than 60 days, either party may terminate these Terms with written notice.
12. Indemnification
You agree to indemnify, defend, and hold harmless Mentilead and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your use of OrderFlow in violation of these Terms
- Your violation of any applicable law or regulation
- Your breach of your obligations as a data controller under GDPR
- Claims by your end customers related to orders, products, or services you provide
- Your content, data, or product information processed through OrderFlow
We will notify you promptly of any such claim and provide reasonable cooperation in your defense. You shall not settle any claim without our prior written consent.
13. Termination
Termination by You
You may terminate these Terms at any time by uninstalling OrderFlow from your Shopify store. No refunds are provided for partial billing periods.
Termination by Us
We may suspend or terminate your access to OrderFlow immediately and without prior notice if:
- You breach these Terms and fail to cure the breach within 14 days of notification
- You engage in activity that poses a security risk to the Service or other users
- You violate Shopify's Terms of Service or Acceptable Use Policy
- Your Shopify store is suspended or terminated
- Required by law, regulation, or court order
Effect of Termination
Upon termination:
- Your license to use OrderFlow is immediately revoked.
- OAuth sessions are deleted immediately.
- Data is handled in accordance with our Privacy Policy and DPA (12-month retention, then permanent deletion).
- You may export your data before uninstalling via Settings > Danger Zone > Export Data.
- Sections that by their nature should survive termination will survive, including Intellectual Property, Limitation of Liability, Disclaimer of Warranties, Indemnification, and Governing Law.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.
Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Denmark.
This choice of governing law does not affect your rights as a consumer under the mandatory consumer protection laws of your country of residence, where applicable.
15. Changes to These Terms
We may update these Terms from time to time. When we make changes:
- The "Last updated" date at the top will be revised.
- For material changes, we will notify you via email and/or an in-app notification at least 30 days before the changes take effect.
- Continued use of OrderFlow after the notice period constitutes acceptance of the updated Terms.
- If you do not agree to the updated Terms, you must uninstall OrderFlow before the changes take effect.
Non-material changes (e.g., formatting, typographical corrections, clarifications) may be made without prior notice.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and Mentilead regarding the use of OrderFlow and supersede all prior agreements, understandings, and communications.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the original intent.
16.3 Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by the waiving party.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.
16.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Nothing in these Terms is intended to confer rights on any person or entity other than the parties.
16.6 Notices
Notices to you will be sent to the email address associated with your Shopify store or displayed as in-app notifications. Notices to us should be sent to support@mentilead.com.
16.7 Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Mentilead. Neither party has the authority to bind the other or incur obligations on its behalf.
